PRESS RELEASE Corticeira Amorim Information Systems Internalisation In accordance with article 29-T of the Portuguese Securities Code, CORTICEIRA AMORIM, S.G.PS., S.A. ("CORTICEIRA AMORIM") hereby informs the market and its shareholders of the following transaction with a related party: CORTICEIRA AMORIM has acquired from Amorim Serviços e Gestão, S.A. (ASG) 100% of the company OSI - Sistemas Informáticos e Electrotécnicos, Lda. ("OSI"), headquartered in Mozelos, Santa Maria da Feira, Portugal, for the amount of €2.8 million. OSI's main activity is the provision of consulting and other specialised services in the area of information systems. The company has played a crucial role in adapting, modernising and providing support and security for the information systems implemented at Corticeira Amorim's subsidiary companies, for which it currently supplies about 96% of its total services. In 2021, the company's business turnover totalled €10.9 million. Additional information concerning the transaction: Related party and nature of the relationship: ASG is wholly owned by Amorim Investimentos e Participações, S.G.P.S., S.A., the company that owns 51% of the share capital and voting rights of CORTICEIRA AMORIM; The transaction was made under normal market conditions: the value of the transaction was determined by an external independent valuation (PwC); CORTICEIRA AMORIM's Audit Committee (entirely composed of independent members) issued a favourable opinion of the transaction, which was subsequently approved by Corticeira Amorim's Board of Directors; Date of the transaction: December 21, 2022; Rationale: considering the facts detailed in point 2, CORTICEIRA AMORIM's Board of Directors decided, by means of this acquisition, to internalise this role, which is essential for the future of CORTICIERA AMORIM.
